2.3 Communications Policy (Email Only)

To preserve confidentiality, recordkeeping, and clarity, all official communications, instructions, approvals, change requests, and notices must be sent by email to contact@banyanlegacy.co. We do not accept instructions or approvals via phone, text message, social media, WhatsApp, or other channels.

2.4 Engagement, Scope Confirmation, and Start of Work

Services are provided only after (i) written confirmation of scope (by email or written agreement), (ii) acceptance of these Terms and any additional engagement terms, and (iii) receipt of full payment. We may decline any matter at our sole discretion.

2.5 Fees; Full Payment Before Starting; No Refunds

All services require 100% payment before work begins.
All payments are non-refundable, including deposits, retainers, setup fees, and service fees, to the maximum extent permitted by law. This includes situations where a project is delayed, paused, modified, or terminated due to client decisions, third-party actions, or jurisdictional requirements.
Chargebacks or payment disputes must be raised first by email to contact@banyanlegacy.co. Unjustified chargebacks or disputes may constitute a breach of these Terms, and you agree to reimburse reasonable costs incurred in responding, where permitted by law.

2.6 Delivery Timelines Are Estimates

Any delivery dates, timelines, or completion estimates are non-binding estimates only. Timelines may vary and depend on factors including, but not limited to, jurisdictional processing times, third-party providers, government agencies, client responsiveness, documentation completeness, and compliance review requirements. We are not liable for delays caused by factors outside our control.

2.7 Client Responsibilities

You agree to:
* Provide accurate, complete information and documentation promptly.
* Respond to requests for information or approvals in a timely manner.
* Confirm approvals and instructions in writing by email.
* Ensure you have authority to provide instructions and make decisions for the relevant entities or assets.

You are responsible for outcomes impacted by inaccurate, incomplete, or delayed information or approvals.

2.8 No Guarantee of Outcomes

Because results depend on regulatory interpretation, third-party processing, and jurisdictional requirements, we do not guarantee approvals, registrations, timelines, tax outcomes, bank account openings, or acceptance by any authority.

2.9 Third Parties and Partners

We may coordinate with third parties (for example, registered agents, fiduciary providers, administrators, banks, attorneys, translators, or other specialists) where appropriate. Unless expressly stated in writing, third-party services and fees are separate, and we are not responsible for third-party performance, decisions, or outcomes.

2.10 Intellectual Property

All website content and materials we provide (including documents, frameworks, templates, diagrams, and written guidance) are owned by Banyan Legacy LLC or its licensors unless otherwise stated. You may not copy, publish, resell, or distribute our materials without prior written permission.

2.11 Confidentiality

We treat communications and client information as confidential, subject to legal obligations and disclosures to necessary service providers under appropriate confidentiality obligations.

2.12 Limitation of Liability

To the maximum extent permitted by law, Banyan Legacy LLC’s total liability for any claim related to the website or services will not exceed the amount paid to us for the specific services giving rise to the claim. We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost opportunities, or reputational harm, even if advised of the possibility.

2.13 Indemnification

You agree to indemnify and hold harmless Banyan Legacy LLC from claims, losses, liabilities, and expenses arising from your misuse of the website, your breach of these Terms, inaccurate or unlawful information you provide, or disputes with third parties you engage.

2.14 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles.

2.15 Mandatory Arbitration (Delaware) and Class Action Waiver

PLEASE READ CAREFULLY – THIS AFFECTS YOUR RIGHTS.
Any dispute, claim, or controversy arising out of or relating to these Terms, the website, or services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

* Seat / location: Wilmington, Delaware (or remote/virtual if agreed or ordered by the arbitrator).
* Language: English.
* Arbitrator: One arbitrator.
* Injunctive relief: Either party may seek temporary injunctive relief in court to protect intellectual property or confidentiality pending arbitration.
Class action waiver: You and Banyan Legacy LLC agree that disputes will be brought only in an individual capacity and not as a plaintiff or class member in any class, collective, representative, or private attorney general action, to the maximum extent permitted by law.

2.16 Severability

If any provision is found unenforceable, the remaining provisions will remain in effect.

2.17 Changes to These Terms

We may update these Terms from time to time. The “Last Updated” date above indicates when these Terms were last revised.
